The offer values each CBIZ share at $55 and adds a strong premium to recent trading levels. Moreover, the deal would create the fifth-largest United States professional services provider after closing.

Grant Thornton Sets $55 Cash Offer

Grant Thornton Advisors agreed to acquire CBIZ in a transaction valued at $5 billion. Under the agreement, CBIZ shareholders will receive $55 in cash for every common share they own. That price represents about a 54% premium to CBIZ’s 30-day volume-weighted average share price.

New Mountain Capital will provide additional equity after supporting Grant Thornton’s growth strategy since May 2024. The private equity firm previously led an investment that helped expand Grant Thornton’s operations in the United States. The new funding will support the purchase and the combined company’s wider growth plans.

CBIZ’s board unanimously approved the agreement and recommended shareholder support for the transaction. The companies expect to complete the acquisition during the fourth quarter of 2026.  The closing still requires shareholder approval, regulatory clearance, and other standard conditions.

Combined Firm Targets Greater Scale

The merger would create a United States business with more than $5 billion in annual domestic revenue. It would also form the country’s fifth-largest provider of professional, tax, and advisory services. The transaction ranks as the industry’s largest combination in more than 25 years.

The wider multinational platform would operate across more than 20 countries and territories after the acquisition. It would generate nearly $7.5 billion in revenue and employ more than 34,500 professionals worldwide. Grant Thornton expects the larger network to strengthen cross-border services and expand specialist capabilities.

Grant Thornton also plans to extend its technology platform across CBIZ’s client base. The firm recently announced a $1 billion investment in artificial intelligence and advanced technology. As a result, the combined business expects to improve service delivery, staff productivity, and client support.

Benefits Unit Faces Separate Future

Grant Thornton plans to separate CBIZ’s Benefits and Insurance Services segment after completing the acquisition. New Mountain Capital would back the unit as a new independent company. The business would focus on insurance, retirement, payroll, and related services for existing clients.

CBIZ may seek alternative offers during a go-shop period ending August 27, 2026. Its advisers can solicit, review, and negotiate competing acquisition proposals during that period. The board may accept a superior proposal under the merger agreement’s stated conditions.

Grant Thornton will own CBIZ outright after completing the transaction. CBIZ shares will then stop trading and leave the New York Stock Exchange. Until closing, the company will continue operating under its current structure and public listing.
