ONDS stock advanced approximately 4% following the announcement, reaching the $9.50 level. Shares have also gained roughly 5% throughout the previous week, with momentum aligning closely with the deal’s completion.

Equity Compensation for New Personnel
Alongside the acquisition, Ondas authorized equity compensation packages for 47 recently hired staff members.
The compensation encompasses 1,601,593 restricted stock units plus options to acquire 1,290,000 units with a strike price of $9.11 per share.
The RSUs follow three distinct vesting timelines. The majority, comprising 1,097,687 units, vests bi-annually throughout a two-year period. Another allocation of 460,000 units vests one-third on August 10, 2027, with the balance distributed across eight quarterly installments. A smaller allocation of 43,906 units vested immediately on the closing date.
Options vest one-third on August 10, 2027, followed by 24 equal monthly distributions thereafter. All vesting schedules require ongoing employment.
These grants were awarded pursuant to Nasdaq Rule 5635(c)(4) inducement grant exemption, permitting equity awards to newly hired personnel without requiring shareholder authorization.
Ondas confirmed it will submit a Current Report on Form 8-K to the SEC regarding the acquisition.
