Musk Commands Nearly Half the Company

Elon Musk maintains direct control over 6.4 billion SpaceX shares, representing 48.4% of the company’s total outstanding equity. This position was valued at approximately $1.1 trillion when the second quarter concluded. With recent trading prices around $140 per share through last week’s close, that valuation has contracted to roughly $900 billion.

When factoring in his Tesla ownership, Musk’s aggregate wealth stands near $1.1 trillion. His trillionaire designation remains intact provided SpaceX shares hold above approximately $120, with Tesla’s price remaining constant.

Musk faces restrictions preventing any sale of his SpaceX holdings until June 2027, and market observers expect he will maintain his position long-term.

Technology Leaders and Institutional Investors Hold Significant Positions

Alphabet reported ownership of 551 million SpaceX shares in its regulatory filing. When the second quarter ended with shares trading at $171, this holding carried a value near $94 billion. With current market prices hovering around $140, the position is now valued at approximately $77 billion.

Nvidia maintains ownership of 123 million shares, slightly under 1% of all outstanding equity. The chipmaker supplies substantial quantities of graphics processing units to SpaceX. Following SpaceX’s February combination with Musk’s artificial intelligence venture xAI, Nvidia’s investment carries additional strategic significance.

Leading asset management firms including Fidelity, BlackRock, Baillie Gifford, and the Ontario Teachers’ Pension Plan represent significant stakeholders as well. Their combined positions exceed 455 million shares.

The company’s initial public offering included approximately 556 million shares, supplemented by an additional 83 million shares through the underwriters’ overallotment mechanism. These figures represented a modest portion of the 13.2 billion total shares outstanding.

Lockup Expirations Continue Rolling Out

Following SpaceX’s second-quarter financial results, approximately 912 million shares entered free trading status. An additional 319 million shares reach their lockup expiration during the current week. Before 2025 concludes, roughly 4.2 billion shares will have completed their restricted periods. This encompasses the majority of equity not under Musk’s control.

SpaceX shares experienced downward pressure below $105 during August, partially attributed to market anxiety surrounding potential selling from early backers once restriction periods lifted.

Separately, the Wall Street Journal disclosed that Tesla’s board-approved $1 trillion compensation structure for Musk includes provisions that a Tesla-SpaceX combination might activate. Such a transaction, if structured at sufficient valuation levels, could effectively bypass critical performance milestones currently separating Musk from that compensation.

SpaceX shares traded at $141.63 during Monday’s premarket session, advancing 1.2%, as S&P 500 futures climbed 0.2%.
