Metaplanet is expanding its Bitcoin treasury strategy beyond Japan after Super League Enterprise shareholders approved a transaction that positions the Japanese company to establish a US-listed Bitcoin treasury platform. The agreement combines a substantial BTC contribution with access to American equity markets, giving Metaplanet another potential channel for raising capital and accumulating Bitcoin.
Metaplanet Expands Its Bitcoin Strategy Into The US
Under the deal announced on August 18, Metaplanet will contribute 2,100 BTC and $2.5 million in cash through its wholly owned US subsidiary, Metaplanet Holdings. The Bitcoin was valued at approximately $132.1 million using the reference price specified in the agreement. Its market value reached roughly $170 million on October 16, illustrating how Bitcoin price movements can change the transaction’s underlying value.
In exchange, Metaplanet will receive 44,859,400 common shares priced at $3 each, alongside preferred stock and warrants. The resulting ownership structure is expected to give the Japanese firm control of Super League, including the ability to designate a majority of its board. Its common shares will also be subject to a five-year lock-up, signaling a longer-term commitment to the US expansion.
Superplanet Targets Bitcoin Growth Through Preferred Stock
Following the transaction’s completion, Super League plans to change its name to Superplanet, Inc. and adopt the Nasdaq ticker SUPA, subject to the required approvals and closing conditions. The company will retain its existing gaming advertising and media business while developing a Bitcoin treasury operation.
The proposed structure offers a different route for corporate Bitcoin accumulation. Instead of depending primarily on conventional borrowing, Superplanet intends to use preferred stock offerings to raise funds for additional BTC purchases. Metaplanet also has the option to invest up to $210 million in junior preferred stock, providing a potential source of additional financial support.
This approach could help the company increase its Bitcoin holdings without placing all its financing needs on traditional debt markets. However, issuing new securities can dilute existing shareholders, and preferred stock may carry dividend obligations. The strategy’s effectiveness will therefore depend on financing costs, market demand and whether Bitcoin holdings grow faster than the company’s share count.
