Metaplanet has moved closer to establishing a US-listed Bitcoin treasury platform after Super League Enterprise shareholders approved key proposals linked to its planned investment of 2,100 BTC. The deal would transform the Nasdaq-listed gaming media company into Superplanet, a Bitcoin-focused subsidiary of the Japanese firm, extending its treasury strategy into the US capital market.

Under the agreement announced by Super League on August 18, Metaplanet will contribute 2,100 BTC and $2.5 million in cash in exchange for newly issued shares, preferred stock and warrants. The Bitcoin was valued at approximately $132.1 million using the August 14 reference price. Super League shareholders approved proposals at the October 16 annual meeting, advancing a key requirement for the transaction.

The proposed deal would give Metaplanet approximately 95.7% of Superplanet’s common stock after closing, or about 93.6% assuming the exercise of existing pre-funded warrants.

The company is expected to remain listed on Nasdaq while operating as a consolidated subsidiary of the Japanese firm. Completion is still subject to remaining closing conditions, including required Nasdaq procedures and regulatory requirements.

Superplanet Could Connect Bitcoin Markets in Japan and US

The planned US platform would complement Metaplanet’s existing presence on the Tokyo Stock Exchange. The company aims to access capital from both markets to support its Bitcoin treasury strategy, while Superplanet would retain Super League’s existing gaming media business. This structure offers US investors exposure to a listed company combining operating activities with a substantial Bitcoin treasury.

The agreement also includes warrants that could allow the Japanese firm to purchase up to 381 million additional common shares at exercise prices ranging from $3 to $33.50.

If exercised, these warrants could provide substantial additional capital, but the potential proceeds are not guaranteed and depend on future conditions. The large number of possible new shares also makes dilution an important consideration for investors assessing the deal.

Metaplanet’s official Bitcoin strategy tracker reports holdings of 44,000 BTC following a 1,000-BTC acquisition recorded on September 30. The planned 2,100-BTC contribution would represent roughly 4.8% of that treasury, based on the 44,000-BTC figure. This would seed the US subsidiary with Bitcoin already held by its parent rather than requiring Superplanet to buy the entire position on the open market.

The value of the contribution can change significantly with Bitcoin’s price. Super League’s October investor materials valued the 2,100 BTC at approximately $175 million on October 11, compared with $132.1 million at the August reference price. That difference illustrates how market movements can alter the value of the deal before closing, even though the agreed Bitcoin amount remains fixed.

MSCI Review Adds a Risk for Corporate Bitcoin Treasuries

Metaplanet’s expansion comes as investors assess how index providers classify companies whose balance sheets are heavily weighted toward digital assets. Reuters reported on October 16 that MSCI is reviewing rules that could exclude certain companies resembling investment funds, with the Japanese firm among the firms under scrutiny. MSCI’s final list of changes is expected on November 11.

Any index exclusion could affect demand from passive investment funds, although no removal should be treated as confirmed before MSCI’s decision. For the Japanese firm, the US expansion could diversify its access to capital markets, but it will not eliminate Bitcoin price volatility or the risks associated with a treasury-heavy corporate strategy. Investors will now watch for the transaction’s closing, the planned Superplanet name change and how the combined structure funds future Bitcoin accumulation.
