Shares of Paramount Skydance (PSKY) experienced an uptick Thursday following the Supreme Court’s intervention in the ongoing legal dispute over the company’s proposed merger with Warner Bros. Discovery. The stock advanced nearly 1.5% during the closing moments of the trading session, starting the day at $10.22.

The nation’s highest court instructed a coalition of 12 states, primarily spearheaded by California’s Attorney General Rob Bonta, to file a response within a two-week timeframe to a legal challenge brought forward by Iowa and Montana. The two states contend that because federal regulators have already greenlit the merger and 38 states have raised no objections, the 12-state coalition lacks legal authority to obstruct the transaction.

While the Supreme Court hasn’t approved Iowa and Montana’s Motion For Leave to File a Bill of Complaint, it also hasn’t rejected it. This leaves room for the legal challenge to potentially eliminate what has become the most significant barrier to completing the merger.

Over the past year, PSKY has declined 41.47%, trading between a 12-month low of $7.62 and a peak of $20.86. The stock’s 50-day moving average currently stands at $9.62, with the 200-day moving average at $10.14.

Institutional Investors Continue Accumulation

Notwithstanding the stock’s challenging performance, institutional investors continue to show interest. Wellington Management Group established a new position during the second quarter, purchasing 327,700 PSKY shares with an approximate value of $3.23 million.

Additional institutional investors have expanded their stakes as well. Pittenger and Anderson increased its holdings by 18% in the first quarter. Huntington National Bank more than doubled its investment in Q4, posting a 108.2% increase. Collectively, institutional investors and hedge funds now control 73% of the company’s shares outstanding.

Strong Quarterly Results, Conservative Wall Street Outlook

Paramount’s latest quarterly performance provided some positive momentum for shareholders. The media company posted Q2 earnings per share of $0.18, surpassing the analyst consensus estimate of $0.15 by $0.03. Quarterly revenue totaled $6.91 billion.

Additionally, the company announced a quarterly dividend distribution of $0.05 per share, scheduled for payment on October 1st to shareholders on record as of September 15th. This dividend represents an annualized yield of 2%, with a corresponding payout ratio of 68.97%.

Wall Street analysts remain largely cautious in their outlook. Benchmark maintains a Buy rating but reduced its price target from $19 to $16. UBS continues with a Sell rating and lowered its target from $10 to $8. TD Cowen similarly decreased its target from $13 to $8 while keeping a Hold rating. Arete Research maintains a Sell rating with a $2.00 price objective. Overall consensus stands at “Reduce” with an average price target of $11.38. Analysts project full-year earnings per share of $0.56 for the current fiscal period.
