Super League Enterprise shareholders have approved all proposals connected to Metaplanet’s planned investment, clearing a key corporate hurdle for a transaction that would bring 2,100 Bitcoin and $2.5 million in cash to the U.S. media company.

The approvals were obtained at Super League’s October 16 annual meeting, and the company announced the result on October 19, according to a Super League filing with the U.S. Securities and Exchange Commission. The vote advances, but does not complete, the proposed investment.

Shareholders approve Metaplanet transaction

Super League said shareholders approved the proposals required for Metaplanet’s planned investment and contribution, providing corporate authorization to proceed with the previously disclosed arrangement.

The transaction is intended to establish a U.S.-listed Bitcoin treasury platform for Metaplanet through Super League. CoinMarketCap Academy said it would initially be funded with the Bitcoin contribution and cash.

The planned structure combines Metaplanet’s Bitcoin-focused strategy with Super League, whose advertising and media activation business would remain a separate operating segment.

2,100 BTC and $2.5 million contribution

Super League’s August 18 announcement set out a proposed contribution from Metaplanet of 2,100 BTC and $2.5 million in cash at closing, combining an initial crypto treasury with a separate cash component.

For the Bitcoin portion, Super League used an August 14, 2026 reference price to place the contribution at approximately $132.1 million. That is a transaction reference valuation, not a fixed current value; the contribution remains denominated in 2,100 BTC, whose market value may change before closing.

Metaplanet’s equity package

In exchange for the contribution, Metaplanet is scheduled to receive 44,859,400 Super League common shares, priced at $3.00 each under the agreement. The consideration also includes preferred stock and warrants, according to Super League’s transaction announcement.

Beyond the common shares and stated price, the disclosed consideration includes preferred stock and warrants, although Super League did not provide further terms for those instruments in the supplied announcement.

The transaction therefore involves more than a straightforward purchase of Bitcoin by Super League. It is structured as a capital contribution in return for a package of common equity, preferred stock and warrants, with the shareholder vote now secured for the related proposals.

Planned Superplanet rebrand and SUPA ticker

Super League said it intends to rename itself Superplanet, Inc. and begin trading under the ticker symbol SUPA once the transaction closes.

The company said the proposed rebrand and ticker change remain subject to customary closing conditions, including Nasdaq-related filings. Its October disclosure also said the shareholder vote approved the transaction-related proposals but did not itself complete the closing of Metaplanet’s contribution, leaving the rebrand, ticker change and new structure subject to the closing process.

Super League said its advertising and media activation business would continue as a separate operating segment after the planned transition. If completed, the transaction would leave the company with its existing operating business and a proposed Bitcoin treasury platform.
