Bank of America Secures Major Stake in Jio Credit

Bank of America will acquire up to 49.9% of Jio Credit through equity shares and warrants. The agreement initially gives the American banking group a 26.5% equity interest in the Indian lender. Exercising the agreed warrants could increase Bank of America’s ownership to 49.9%.

The total proposed investment reaches ₹18,268 crore, equivalent to about $1.9 billion based on the announced transaction value. Jio Financial Services currently owns Jio Credit and operates the lender as its non-bank financial subsidiary. Both companies will receive equal representation on Jio Credit’s board after completing the transaction.

Jio Credit’s existing management team will continue directing the lender’s operations and business strategy. Jio Financial Services will also continue consolidating Jio Credit within its financial reporting after the deal closes. However, regulatory and statutory approvals remain necessary before the companies can fully complete the investment.

Jio Credit Brings Rapid Growth and Digital Lending Scale

Jio Credit has expanded quickly since starting operations about two years ago in India’s lending sector. The company reported ₹30,667 crore in assets under management through June 30, 2026. That figure equals roughly $3.2 billion and highlights the lender’s rapid expansion across India.

The digital lender offers several credit products while targeting customers through technology-led financial services. Jio Credit plans to expand existing products and introduce new lending services across the Indian market. The strategy supports wider credit access while maintaining stronger controls around lending and risk management.

Bank of America will contribute global experience covering finance, governance, risk controls, technology, and digital banking. Jio Financial Services will provide local market knowledge, distribution capacity, technology, and access to its growing customer network. Together, the partners aim to expand lending while supporting Jio Credit’s long-term balance sheet growth.

India Expansion Adds New Growth Channel for Bank of America

The partnership broadens Bank of America’s international growth strategy without requiring a new lending platform built from the ground up. Instead, the bank gains direct exposure through an established lender backed by Jio Financial Services. That structure combines Jio’s domestic reach with Bank of America’s global banking infrastructure and financial experience.

India’s expanding economy provides significant opportunities across consumer finance, business lending, and digital financial services. Meanwhile, growing digital adoption has increased demand for faster and more accessible borrowing products across the country. The partnership positions both companies to pursue that demand while maintaining established governance and risk standards.

Bank of America has operated in India for decades across corporate banking and other institutional financial services. The Jio Credit agreement creates a broader position in lending through an established local financial platform. The investment gives Bank of America another channel for long-term expansion across India’s financial services sector.
